By accessing and using the website www.parameter3.com, including any subdomains thereof, the related mobile website, and the mobile application (collectively, the "Website"), you agree to be bound by these Terms of Service (the "Agreement"), whether or not you register as a member ("Member") of Parameter3. If you wish to become a Member and make use of the Service provided by Parameter3, please read this Agreement carefully. If you object to anything in this Agreement or the Parameter3 Privacy Policy, do not use the Service.
This Agreement is subject to change by Parameter3 at any time, effective upon posting on the website. Your continued use of the Website and the Service following Parameter3’s posting of revised terms of any section of the Agreement will constitute your express and binding acceptance of and consent to the revised Agreement.

Electronic Agreement
This Agreement is an electronic contract that sets out the legally binding terms of your use of the Website and the Service offered by Parameter3. This Agreement may be modified by Parameter3 from time to time, such modifications to be effective upon posting by Parameter3 on the Website. By accessing and/or using the Website, including becoming a Member, you accept this Agreement and agree to all of the terms, conditions, and notices contained or referenced herein.
Access and Retention
To access and use the Website and Service, you must have access to the World Wide Web, either directly or through devices that access web-based content, and pay any service fees associated with such access. If you are using the Service on behalf of a company, entity, or organization (collectively, "Subscribing Entity"), you represent and warrant that:
- You are an authorized representative of the Subscribing Entity with the authority to bind the Subscribing Entity to this Terms of Service;
- You have read and understood this Terms of Service; and
- You agree to this Terms of Service on behalf of the Subscribing Entity.
Illegal and/or unauthorized use of the Website, including collecting usernames and/or email addresses of Members by electronic or other means for the purpose of sending unsolicited email, unauthorized framing of or linking to the Website, or any other use not expressly permitted in this Agreement is prohibited.
Account Security
As a user of the Website and Service, you are responsible for maintaining the confidentiality of your username and password that you designate during the registration process, and you are fully responsible for all activities that occur under your username and password. You agree to:
- Immediately notify Parameter3 of any unauthorized use of your username or password or any other breach of security.
- Ensure that you exit from your account at the end of each session. Parameter3 will not be liable for any loss or damage arising from your failure to comply with this section. Intellectual Property Rights: You retain your rights to any content you submit, post or display on or through the Website. By submitting, posting or displaying content on or through the Website, you grant Parameter3 a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display and distribute such content in any and all media or distribution methods (now known or later developed).
Illegal and/or Unauthorized Uses
The Website may be used only for lawful purposes by individuals seeking information and services. Parameter3 specifically prohibits any use of the Website, and all users agree not to use the Website, for:
- Posting any incomplete, false or inaccurate information or information which is not your own accurate resume (living individual seeking employment on a full-time or part-time basis on his or her own behalf).
- Deleting or revising any material posted by any other person or entity.
- Using any device, software or routine to interfere or attempt to interfere with the proper working of the Website or any activity being conducted on this site.
- Taking any action that imposes an unreasonable or disproportionately large load on the Website's infrastructure.
- Notwithstanding anything to the contrary contained herein, using or attempting to use any engine, software, tool, agent or other device or mechanism (including without limitation browsers, spiders, robots, avatars or intelligent agents) to navigate or search the Website other than the search engine and search agents available from Parameter3 on the Website and other than generally available third-party web browsers (e.g., Netscape Navigator, Microsoft Explorer).
If you share your computer with others, consider disabling the auto-login feature if it's connected to your Parameter3 account to prevent others from accessing your account.
Intellectual Property Rights
Parameter3 respects the intellectual property of others, and we ask our users to do the same. The service and the content provided through the Website, including but not limited to text, graphics, logos, images, as well as the compilation thereof, and any software used on the Website, is the property of Parameter3 or its suppliers and protected by copyright and other laws that protect intellectual property and proprietary rights. Parameter3 content is not for resale. User Conduct

Indemnification
You agree to indemnify, defend, and hold harmless Parameter3, its officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of these Terms of Service or any activity related to your account (including negligent or wrongful conduct) by you or any other person accessing the site using your Internet account.
Disclaimer of Warranties
You understand and agree that your use of the Website and any services or content provided (the "Service") is made available and provided to you at your own risk. It is provided to you "as is," and Parameter3 expressly disclaims all warranties of any kind, either implied or express, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
Parameter3 makes no warranty, either implied or expressed, that any part of the Service will be uninterrupted, error-free, virus-free, timely, secure, accurate, reliable, or of any quality, nor that any content is safe in any manner for download. You understand and agree that neither Parameter3 nor any participant in the Service provides professional advice of any kind and that use of such advice or any other information is solely at your own risk, and without our liability in any way.
Limitation of Liability
You expressly understand and agree that Parameter3 shall not be liable for any direct, indirect, special, incidental, consequential, or exemplary damages; this includes but is not limited to, damages for monetary losses, loss of profits, goodwill, use, data, or other intangible losses (even if Parameter3 has been advised of the possibility of such damages), resulting from (I) the use of services or the inability to use services, (II) the cost of obtaining substitute goods and/or services resulting from any transaction entered into on through services, (III) unauthorized access to or alteration of your data transmissions, (IV) statements or conduct of any third party on the service, or (V) any other matter relating to the service.
Governing Law
These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of North Carolina, United States.
Dispute Resolution
For any disputes or discrepancies you may have with Parameter3, you agree to first contact us and attempt to resolve the dispute informally. If Parameter3 has not been able to resolve the dispute with you informally, we each agree to resolve any claim, dispute, or controversy (excluding claims for injunctive or other equitable relief) arising out of or in connection with or relating to these Terms, or the breach or alleged breach thereof (collectively, "Claims"), by binding arbitration by the American Arbitration Association ("AAA") in the city of Charlotte, NC, or another location mutually agreeable to the parties. The use of the Service and any agreements entered into through the Service are to be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions.
Severability
If any portion of these Terms of Service is found to be unenforceable, the remaining portions will remain in full force and effect. If we fail to enforce any of these Terms, it will not be considered a waiver.
Changes to Our Terms
Parameter3 reserves the right, in its sole discretion, to change, modify, add, or remove portions of these Terms of Service at any time. It is your responsibility to check these Terms of Service periodically for changes. Your continued use of the Website following the posting of changes will mean that you accept and agree to the changes.
